About the Role
Act as the main legal advisor to the Americas Medical Services Exco reporting to the CEO for medical services in the Americas. Provide legal support for commercial and vendor transactions, including advising on the regulatory landscape for medical services in the industrial, occupational health, and emergency services context to the business development and operational teams. Actively participate in design of services and solutions for US domestic medical services in the industrial context. Conduct contract negotiation and review and provide legal support for strategic alliances and joint ventures in the US and Canada. Assist with legal matters involving operations, marketing, security, and human resources across Alaska, Louisiana, Texas, and additional sites as the business footprint expands. Manage external counsel as needed for employment, compliance and commercial matters.
Responsibilities
The key responsibilities will be, but not limited to, the following activities:
- Required to attend all ExCo meetings and report on legal/regulatory issues, particularly in the healthcare, occupational healthcare, and emergency medical services space that affect the region, and provide support to fellow ExCo members on their strategic initiatives;
- Actively support and manage strategic partnerships; nurture productive relationships with stakeholders, attend all ExCo and board meetings; and support with legal/commercial initiatives and challenges;
- Serving as an active business partner to the leadership teams, working to drive strategic opportunities; reduce costs; and identify and diminish commercial risks;
- Applying combined business and legal acumen to advise the business on transactional matters; commercial and regulatory issues; litigation; privacy; and other matters;
- Providing training to all stakeholders in the region, as required;
- Draft and negotiate complex commercial contracts in support of commercial transactions, review commercial terms for RFPs and tenders.
- Respond to escalations of commercial terms and guide contract manager(s) from Commercial Services. Provide training and updates to playbook on matters of significance.
- Draft NDA’s, employment and independent contractor agreements, conduct due diligence and participate in integrations of new entities if required.
- Collaborating with global legal colleagues and subject matter experts to analyse and advise the regional commercial teams on complex legal/compliance issues;
- Structure and negotiate complex transactions;
- Oversee outside counsel in matters of litigation, employment and compliance matters.
- Help support and drive cross business-line, global, and regional synergies;
- Implement and coordinate the strategic solutions, policies, procedures, controls to ensure that the Group’s exposure to legal risk is effectively managed;
- Keep abreast of relevant regulatory and licensing requirements and changes in the country/states and inform the region of necessary action to meet regulatory requirements
- Support corporate governance and record keeping, as needed.
- Participate and provide guidance to colleagues in relation to local and regional projects or transactions.

Required Work Experience (Brief description of the job-related experience needed to perform the job)
- 10 years of experience with at least five being at an in-house legal department for a company that provides professional medical services.
Required Qualifications (Brief description of the educational background needed to perform the job)
- JD with excellent law school credentials.
- Licensed to practice in a US State or be eligible for licensure as a registered in-house counsel.

- Business/Legal fluency in English
