About the Team
The Legal team at Omidyar Network works closely with programmatic staff and other departments to create positive social impact by facilitating the firm’s grant, contract, investment and other work around the world. The team has deep experience in areas such as foundation grant-making, venture capital financing, advocacy and global operations. The team strives to be a trusted partner on legal and business issues, identifying key risks and promoting best practices.
Position Summary
The primary responsibility for this position is to provide legal support on grants and contracts made by Omidyar Network. This position will also assist with tax and regulatory compliance issues applicable to the foundation, and will support other legal duties related to Omidyar Network’s operations. This position will report to the General Counsel as a full-time position in the Legal Department, and will be located in Washington, DC. with a hybrid in-office 2 days per week schedule.
Responsibilities
- Work closely with the programs team and the grants management function on grant and investment structuring, due diligence, IRS compliance, agreement review and negotiation.
- Monitor governance and general compliance issues, as well as compliance with tax laws and regulations applicable to U.S. private foundations, and advise the team on updates.
- Conduct research on areas that affect the foundation’s activities, such as expenditure responsibility, equivalency determination, fiscal sponsorship, and advocacy, and prepare written analyses as needed.
- Consult and manage outside counsel on complex nonprofit legal issues, for-profit investments, andoperational and regulatory legal matters.
- Collaborate with the Portfolio Engagement team on portfolio management.
- Assist the finance team with preparation and review of private foundation tax return (PF 990).
- Update and improve standard grant and contract templates.
- Provide general support related to formation, transfer, and structuring of Omidyar Network’s subsidiaries and related entities.
- Revise, develop, and provide trainings as needed on grant structuring, advocacy, conflicts, ethics, governance, and other topics as appropriate.
- Review and negotiate other contracts and legal agreements as needed.
- Advise finance, people ops, IT and facilities teams on legal issues.
- Support General Counsel on other legal department projects, processes, and systems as requested.

Qualifications:
- J.D. degree, and license to practice law in the applicable jurisdiction
- 7+ years of legal experience, with significant time advising on issues related to US nonprofit/foundation tax law (preferably in a grant-making capacity)
- Experience working with 501(c)4 organizations a plus
- Experience with for-profit / impact investing a plus
- Ability to interpret and/or analyze complex data and information
- Excellent written and verbal communication skills, including the ability to present legal concerns to a non-legal audience
- Demonstrated ability and desire to work on collaborative teams, both within and outside the organization
- Autonomous self-starter with the ability to exercise independent judgment and focus on effectiveresolution of legal issues
- Strong document management and organization
- Flexibility and adaptability commensurate with working in a fast-paced environment
- Ability to travel approximately 5-10% of the time
Compensation & Benefits
This is a full-time, salaried position that features competitive pay and benefits, including health care (medical/dental/vision), paid time off, and a generous employer 401(k) contribution. The salary range for this role is $225,703 to $282,128. ON manages pay equity seriously, and new hires generally start at the midpoint of this range.
Location
We are currently working in a hybrid capacity and will require staff to work in person a minimum of 2 days per week beginning in September 2025. This position is currently based out of our Washington, D.C. office. Employees are required to reside within 100 miles of ON’s office location, which includes the states of Maryland and Virginia. Candidates must have a current U.S. work authorization to be considered.
